Vidrater — Terms of Service

Plain‑English summary: These Terms explain how you can use Vidrater.ai, how billing works, what you can and cannot upload, and our responsibilities/limits. By creating an account or uploading content, you agree to these Terms.
1) Who we are
Contracting entity: Luke Millam d/b/a Vidrater (sole proprietorship). Vidrater (sole proprietorship of Luke Millam) ("Vidrater," "we," "us," "our") operates the website and services available at vidrater.ai (the "Service"). Contact: luke.millam@gmail.com and [Company address].
2) Eligibility & accounts
- You must be at least 16 years old (or the age of digital consent in your country, whichever is higher).
- Keep your login secure; you’re responsible for activity on your account.
- We may suspend/terminate accounts that violate these Terms.
3) The Service
- You may upload short‑form videos, images, captions, and links for analysis and feedback (collectively, "User Content").
- We provide AI scoring (0–100), recommendations, and optional leaderboard features. Results are informational only and not guarantees of performance.
- We may update, add, or remove features at any time.
4) Your content & license
- Ownership: You retain all rights to your User Content.
- License to us: You grant Vidrater a worldwide, non‑exclusive, royalty‑free license to host, process, transcode, analyze, display, and create derivative metrics from your User Content solely to provide and improve the Service. This license ends when your content is deleted from our systems.
- Public features: If you opt in to portfolio/leaderboard/public sharing, you grant us a license to display your handle, thumbnails, scores, and any content you choose to make public. You can revoke by turning sharing off; removal may take a reasonable time to propagate.
- DMCA: If you believe content infringes your IP, email luke.millam@gmail.com with a compliant notice. We may remove content and close repeat‑infringer accounts.
5) Acceptable use
You agree not to upload or use the Service to:
- break the law; violate others’ rights; dox, harass, or defame;
- upload others’ copyrighted content without permission;
- post sexual content involving minors, non‑consensual intimate imagery, or exploitative content;
- attempt to reverse engineer, scrape at scale, bypass limits, or attack the Service;
- submit malware or content that interferes with others’ use. We may remove content or suspend accounts that violate these rules.
6) Plans, pricing & billing
- Subscription plans and quotas are shown on our Pricing page.
- Payments are handled by our payment processor (e.g., Stripe); we don’t store full card numbers.
- Renewals: Subscriptions renew automatically unless canceled before the renewal date.
- Cancellations/Refunds: You can cancel anytime; access continues through the current billing period. Refunds are at our reasonable discretion unless required by law.
- We may change prices; changes take effect on your next billing cycle with prior notice.
7) Beta features & AI outputs
- Some features may be marked beta or experimental and could be less reliable.
- AI outputs may be incorrect or incomplete. Use your own judgment before posting.
8) Privacy
- Our Privacy Policy explains what we collect and how we use it. By using the Service, you also agree to our Privacy Policy.
9) Third‑party services
- The Service may integrate with third‑party platforms (e.g., social networks). Your use of those is governed by their terms.
10) Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING FITNESS, NON‑INFRINGEMENT, AND MERCHANTABILITY. WE DO NOT GUARANTEE VIRALITY, REACH, OR ANY PARTICULAR RESULT.
11) Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIDRATER AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR MORE THAN THE AMOUNTS YOU PAID TO VIDRATER IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
12) Indemnity
You will indemnify and hold Vidrater harmless from claims arising out of your User Content or your violation of these Terms or applicable law.
13) Arbitration & class‑action waiver (US only)
- Arbitration: Any dispute will be resolved by binding arbitration in your county of residence or Arizona under AAA rules.
- Class‑action waiver: You and Vidrater each waive the right to participate in a class action.
- Opt‑out: You may opt out of arbitration within 30 days of creating your account by emailing luke.millam@gmail.com with subject “Arbitration Opt‑Out.”
14) Changes to these Terms
We may update these Terms; we’ll post the date above. If changes are material, we’ll provide reasonable notice. Continued use after the effective date means you accept the changes.
15) Miscellaneous
- These Terms are governed by the laws of Arizona, USA (conflict‑of‑laws excluded).
- If any provision is unenforceable, the rest remain in effect.
- You may not assign these Terms; we may assign them as part of a merger, acquisition, or asset sale.
